  1. CATDV LICENSE AGREEMENT
  2.  
  3. Definitions. Unless stated otherwise "you" (and "your") means the
  4. individual or corporation to whom this license is granted, "we" (also
  5. "us", "our") means Square Box Systems Ltd., copyright owners and
  6. licensors of the software, and "the software" or "our software" means
  7. the computer software application known as "CatDV" together with any
  8. associated computer files and documentation.
  9.  
  10. 1. By downloading, installing, registering or using the software on any
  11. computer you agree to be bound by the terms of this license agreement,
  12. which both grants you rights and imposes obligations upon you. If you
  13. disagree with any of the terms of this agreement then you must
  14. immediately stop using the software and delete all copies of the
  15. software from your machines.

  17. 2. If you download or install the free evaulation version of the
  18. software then you are permitted to use the software for evaluation
  19. purposes for a period of 30 days from the time you first install the
  20. software on any machine. The purpose of this evaluation is to establish
  21. the correct installation of the software on your system and its
  22. suitability for your requirements. Certain features which are normally
  23. available may be disabled in the unregistered version of the software,
  24. and the software may stop functioning altogether at the end of the
  25. evaluation period.

  27. 3. If you purchase a license to use the software from us then we will
  28. supply you with an official software registration code and thereby grant
  29. you a license to use the software in accordance with the terms of this
  30. agreement.

  32. 4. The software and its constituent files and documentation are
  33. copyrighted and you may not copy the software or any part of the
  34. software except as explicitly stated in this agreement. You are
  35. permitted to install the software on one or more computer system hard
  36. disks, as specified under the terms of this license, and also to make
  37. copies of the software for backup purposes. You are further permitted to
  38. make and distribute copies of the software provided all the following
  39. conditions are met in full: i) you distribute a full installation
  40. archive of the software, as downloaded from the www.catdv.com website,
  41. without expanding or modifying the software or the archive that contains
  42. it in any way, ii) you only distribute the most recent version of the
  43. software available from the www.catdv.com website at the time of
  44. distribution, iii) you adhere to the conditions of the license agreement
  45. included with the archive you are distributing and impose the same
  46. license conditions on the recipients of the software, iv) you do not
  47. misrepesent authorship, ownership or status of the software, v) you do
  48. not impose any charge or fee for the software (other than a minimal
  49. handling charge to cover the direct costs associated with distributing
  50. the software), vi) you do not distribute or reveal any registration
  51. codes or similar confidential information, either with the software or
  52. separately, and vii) you inform us by emailing sales@squarebox.co.uk if
  53. you plan to publish the software on a commercial CD-ROM or web site.
  54. This permission to redistribute does not extend to third party software
  55. that we may distribute with our software.

  57. 5. Unless we explicitly grant you further licenses and except as
  58. provided below any registration codes we may send you may be installed
  59. and used on one computer only. You may transfer a license and
  60. registration from one computer to another by clearing the registration
  61. details and removing the software from the old computer before
  62. installing it on the new one. If you are an individual and are the main
  63. user of more than one computer you may install your registration code on
  64. two computers providing that i) either they are at different physical
  65. sites (for example, one at your place of work and one at your home) or
  66. one is a fixed desktop computer and the other is a portable laptop
  67. computer, and ii) you ensure that instances of the software are never
  68. simultaneously running on both machines. Note that if you purchase at
  69. least one registration code and license to use the software at full
  70. price then you may purchase additional licenses to use the software on
  71. other computers at the same site for a reduced fee.

  73. 6. Any registration keys or other codes that we supply to you for use
  74. with the software (whether for evaluation purposes or not) are
  75. confidential and personal to you. Any computer files created by the
  76. software and containing details of your registration key are similarly
  77. covered and may not be copied or revealed to anyone else. You agree to
  78. keep all such codes confidential and not permit their use other than
  79. under the conditions permitted by this agreement. If you intentionally
  80. reveal or allow these codes to be used by anyone who is not entitled to
  81. use them then we may hold you liable for any losses that we suffer as a
  82. result.

  84. 7. Except as expressly permitted in this license agreement you may not
  85. rent, lease, transfer or sub-license the software without our written
  86. agreement and without imposing similar obligations to those contained in
  87. this license on the recipient. The software is licensed to you, not
  88. sold, and we reserve all rights not explicitly granted to you in this
  89. license. We and/or our licensors retain title to the software and all
  90. intellectual property rights therein.

  92. 8. If you install any third party software that may be distributed with
  93. our software but not forming part of it (including but not limited to
  94. "QuickTime" or "Mac Runtime for Java" from Apple Computer Inc. and "Java
  95. Runtime Environment" from Sun Microsystems Inc.) then you agree to be
  96. bound by the terms of any license agreement(s) included with that third
  97. party software. You agree that we are providing said third party
  98. software purely as a convenience to users of our software and that we
  99. are not entitled to or able to grant or offer any additional rights,
  100. warranties, guarantees or support in such third party software than if
  101. you had downloaded or obtained them from another source independently of
  102. us.

  104. 9. You agree that the internal workings of the software and any computer
  105. files provided as part of the software are confidential trade secrets of
  106. the copyright owner. You agree not to make any attempt to disassemble,
  107. decompile, or reverse engineer the software or any of its constituent
  108. parts. If you acquire knowledge about the internal workings of the
  109. software or any other related trade secrets you agree not to distribute,
  110. disseminate or publish any such information without our written
  111. agreement. You recognise that trade secrets are protected by law in many
  112. jurisdictions and infringement of these conditions (even for "personal"
  113. use) may be a criminal offence punishable by law.

  115. 10. We may terminate this license at any time at our sole discretion by
  116. giving you notice in writing and refunding any license fees that you may
  117. have paid for the software. A breach by you of any of the terms of this
  118. license will immediately terminate the license and no refund will be
  119. due. You may terminate the license by deleting, destroying or returning
  120. all copies of the software in your possession and any registration codes
  121. that may have been issued to you. Any obligations made on you under this
  122. agreement not to reveal or distribute confidential or copyrighted
  123. information, including but not limited to registration codes or trade
  124. secrets related to the internal workings of the software, survive
  125. termination of this license.

  127. 11. This license agreement supersedes any or all previous versions of
  128. this license. By downloading or installing new versions of the software
  129. or by continuing to use the software after you receive a copy of this
  130. new license you agree to be bound by any new or altered terms in this
  131. license.

  133. 12. This agreement is governed by English law. If any provision of this
  134. license agreement or portion thereof is found to be unenforceable you
  135. agree to be bound by the remainder of this license agreement.

  137. THE SOFTWARE IS PROVIDED STRICTLY "AS IS" WITH NO WARRANTY OR GUARANTEE
  138. OF ANY KIND GIVEN. TO THE MAXIMUM EXTENT PERMISSABLE BY LAW SQUARE BOX
  139. SYSTEMS LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT
  140. NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTIBILITY OR FITNESS FOR A
  141. PARTICULAR PURPOSE. IN NO EVENT SHALL SQUARE BOX SYSTEMS LTD, ITS AGENTS
  142. OR DISTRIBUTORS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING BUT NOT
  143. LIMITED TO LOSS OF INFORMATION, INTERRUPTION OF BUSINESS OR ANY OTHER
  144. PECUNIARY LOSS OR CONSEQUENTIAL LOSS) ARISING FROM THE INSTALLATION,
  145. EVALUATION, OR USE (OR INABILITY TO USE) THE SOFTWARE, HOWEVER SUCH A
  146. LOSS MAY BE INCURRED.
